Nondisclosure and Use Agreement
Effective upon registration
This Nondisclosure and Use Agreement (“Agreement”) is entered into between the attendee (“Participant”) and Global Training Center, Inc. (“GTC”), with respect to Participant’s access to and participation in GTC training sessions, materials, and related content (“Training Materials”).
By registering for any GTC course, Participant acknowledges and agrees to the terms set forth herein. This Agreement is binding and enforceable without a separate signature.
1. Purpose
GTC provides proprietary training courses for educational purposes. Certain individuals or organizations attending these courses may also provide consulting, legal, or educational services in related industries. This Agreement protects the integrity of GTC’s proprietary content, training methodologies, and business model, while allowing such participants to attend in good faith.
2. Confidential Information
“Confidential Information” includes, but is not limited to:
- Slide decks, handouts, and course materials
- Instructor delivery techniques and methodologies
- Course structure, formats, or tools
- Exercises, case studies, examples, and templates
- Learning platform features and structure
- Any recordings or transcripts of live or virtual sessions
3. Participant Obligations
By participating in GTC training, Participant agrees to:
- Maintain the confidentiality of all Confidential Information
- Not record, reproduce, share, distribute, repurpose, or commercialize any Confidential Information without prior written consent
- Not use GTC’s materials, methodology, or instructional design to create or deliver similar training, consulting services, or educational content
- Use insights solely for internal professional development and not for competitive advantage or commercial reuse
4. Permitted Use
This Agreement does not prevent the Participant from:
- Applying general knowledge or industry concepts
- Repeating information that is publicly available or not derived from GTC
- Attending the course for personal or professional enrichment, as long as GTC’s content is not reused for external delivery or distribution
5. AI Use & Learning Applications
Participant acknowledges that GTC may use anonymized and de-identified data from course interactions (such as participant-submitted questions, chat inputs, polling responses, or discussion highlights) to improve GTC’s educational services, including the development of AI-powered learning assistants and chatbots.
- GTC will not use personally identifiable information (PII) in any AI or machine learning models without additional consent
- AI tools developed by GTC will be based on its proprietary content and expert curation — not open internet sources
6. Ownership
All rights, titles, and interests in the Training Materials and related intellectual property remain the sole and exclusive property of GTC. Participation does not grant any license, ownership, or permission to reuse these materials beyond the scope of the original course.
7. Term
This Agreement remains in effect for a period of three (3) years from the date of course participation, or until Confidential Information becomes public through no fault of the Participant — whichever comes first.
8. Remedies
Participant acknowledges that unauthorized use or disclosure of Confidential Information may cause irreparable harm to GTC. GTC shall be entitled to seek injunctive relief, damages, and/or termination of access to enforce this Agreement.
9. Miscellaneous
- This Agreement does not create an employment, partnership, or joint venture relationship.
- It shall be governed by the laws of the State of Texas.
- If any provision is held to be unenforceable, all remaining provisions shall remain in full force and effect.
